ELIGIBILITY CRITERIA FOR INVESTORS

Private placements of ONE Financial funds are available to individuals and institutional investors who meet certain eligibility requirements, and who make the applicable minimum initial investment.

Are you a qualified investor?

A qualified investor for a private placement investment in our funds is generally defined as one who meets certain minimum criteria prescribed by statute, which will vary depending on the private placement exemption being relied upon. Please find below a list that indicates the Canadian dollar amount for residents of each province or territory under the available exemptions.

1. Accredited Investor Exemption:

There is no regulatory minimum purchase amount requirement for investments in a Fund made by investors who qualify under the Accredited Investor Exemption. However, the minimum initial purchase amount established by the Manager for "accredited investors" is $2,500 (or such lesser amount that the Manager may accept from time to time).

The criteria for qualification as an "accredited investor" is defined in National Instrument 45-106 of the Canadian Securities Administrators and is set out in the Subscription Agreement.

2. Offering Memorandum Exemption:

(Only for residents of British Columbia, Nova Scotia, New Brunswick, Newfoundland and Labrador and Yukon)

There is no regulatory minimum investment required for investments in a Fund made pursuant to the Offering Memorandum Exemption. However the Manager has established a minimum initial investment of $2,500. For all other Provinces and Territories, please see criteria set out in the Subscription Agreement.

3. Large Subscription Agreement Exemption

The minimum amount for an initial investment in a Fund made by an investor purchasing under the Large Subscription Amounts Exemption is $375,000 in each province and territory.
